MoMe delivers video for major eSports event with Net Insight's cloud solution

Stockholm, Sweden – Net Insight announces the successful collaboration with its Spanish partner, MoMe, and service provider Cingularity in delivering impeccable international video services for a high-profile eSports event taking place in Singapore in June.

The event captivated audiences worldwide from the 22nd to the 25th of June at Singapore's Suntec Centre. With the rising popularity of eSports, this event drew significant attention from gaming enthusiasts and professionals worldwide. MoMe's utilization of Net Insight's cloud native Nimbra Edge technology, deployed in Madrid and Frankfurt, ensured redundancy and resilience for uninterrupted video services delivery to meet the demands of the event.

The seamless transport of video services from Singapore back to London was entrusted to Cingularity, specialists in bespoke live video networking and production solutions. Cingularity deployed Net Insight's Nimbra 400 solution locally to guarantee reliable and high-quality video performance to its Singapore POP for onward transmission to London across its Nimbra MSR based global core network.

Upon reaching London, MoMe utilized Nimbra Edge to seamlessly ingest the content into their network. The deployment of Nimbra Edge in Madrid and Frankfurt not only ensured uninterrupted service but also offered a robust and flexible distribution system to cater to the diverse range of worldwide media rights-holders. Furthermore, Nimbra Edge exhibited its flexibility by enabling the addition of new media rightsholders just a few days before the commencement of the event.

Change in number of shares and votes in Net Insight

During June 2023, 110 000 warrants in the long-term incentive program that was decided by the annual general meeting 2020 (LTI 2020) have been exercised, resulting in an increase of 110 000 B-shares and votes in Net Insight AB.

Before the warrants were exercised, there were 1 000 000 A shares and 367 758 009 B shares, in total 368 758 009 shares and 377 758 009 votes. As of June 30, 2023, there are 1 000 000 A shares and 367 868 009 B shares, in total 368 868 009 shares and 377 868 009 votes. It can be noted that a reduction of share capital with cancellation of shares is ongoing, whereby the numbers of B shares and votes will decrease by 12 775 000.

Net Insight to launch buyback program of SEK 50 million

The Board of Net Insight AB has approved a buyback program for own shares with a value of SEK 50 million in accordance with the mandate given by the 2023 Annual General Meeting. The program will commence on June 7, 2023, and run until the next annual general meeting. Within the mandate, the board is given capacity to, on one or more occasions, decide on repurchases of own shares amounting to at most 10% of the total number of shares in the company.

In its decision on the size of the program, the board has taken into account that the company is in an expansion phase within both product area Synchronization and Media, with expansions into new market segments and customer segments. The company remains well capitalized to deliver on the company's strategic goals.

The purpose of the repurchases is to provide flexibility as regards the company's capital structure and possibilities to distribute capital to its shareholders.

Net Insight has engaged Nordea Bank Abp to execute the repurchase program. Nordea Bank will decide on the repurchases, including their timing, based on irrevocable instructions and in full independence. All repurchases will be made in compliance with applicable price and volume limits.

At the time of this announcement, the number of outstanding shares in the company is 1,000,000 A shares and 367,758,009 B shares, 368,758,009 shares in total. It can be noted that a reduction of share capital with cancellation of shares is ongoing, whereby the amount of B shares will be reduced by 12,775,000.

Net Insight secures order for prestigious high-end live sports event network in Germany

Stockholm, SwedenNet Insight teams up with MTI, Germany's leading media backbone operator together with SHM Broadcast GmbH, a local partner in Germany for a live sports event in June. This deal reaffirms the partnership between the companies, built on trust and a shared dedication to delivering a complete live media transport solution with highest requirements for low latency, resiliency, redundancy, security, scalability, and manageability.

The network supports regional primary contribution between the main IBC centers in Berlin and Munich, ensuring full quality, service security and availability. Net Insight will supply network equipment based on Nimbra 1060, Nimbra 680 and Nimbra 640´s, including Nimbra Vision Management. The customer's network will support 4K, HD-SDI, J2K, data services, and audio services.

Bulletin from Net Insight's Annual General Meeting 2023

On 12 May 2023, the Annual General Meeting in Net Insight AB (publ) was held in Solna, Sweden. The resolutions mentioned below, among others, were passed. The board's and the nomination committee's proposals have previously been published and are available at the company's website, www.netinsight.net.

Annual report, appropriation of result and discharge from liability

The meeting resolved to adopt the income statement and balance sheet, consolidated income statement and balance sheet for 2022. It was resolved that the company's results shall be carried forward and that no dividend will be distributed. The meeting resolved to discharge the board members and the managing director from liability for 2022.

Board members and board fees

The meeting resolved on board elections in accordance with the nomination committee's proposals. Gunilla Fransson was re-elected as chair of the board. Jan Barchan, Cecilia de Leeuw and Torbjörn Wingårdh were re-elected as board members. Karl Thedéen was elected as new board member. Axel Barchan was elected as new personal deputy for Jan Barchan.

The meeting resolved on board fees in accordance with the nomination committee´s proposals, as follows: SEK 750,000 to the Chair of the Board, SEK 275,000 to each other board member elected by the meeting, SEK 135,000 to the deputy elected by the meeting, SEK 100,000 to the Chair of the Audit Committee and SEK 50,000 to each other member of the Audit Committee, SEK 50,000 to the Chair of the Remuneration Committee and SEK 40,000 to each other member of the Remuneration Committee.

Auditor

The meeting elected KPMG AB as the company's auditor for the period up until the end of the annual general meeting 2024. Remuneration to the auditor will be on approved account.

Instruction for the Nomination Committee

The meeting resolved to approve the Nomination Committee's proposal regarding an Instruction for the Nomination Committee.

The board's remuneration report

The meeting revolved to approve the board's remuneration report for 2022.

Guidelines for remuneration to senior executives

The meeting resolved to approve the board's proposal regarding guidelines for remuneration and other terms of employment for senior executives and general remuneration principles.

Authorization for the board to resolve to repurchase and transfer own shares

The meeting resolved to authorize the board to resolve to repurchase, on one or several occasions until the next annual general meeting, as many own shares as may be purchased without the company's holding at any time exceeding ten per cent of the total number of shares in the company. Further, the meeting resolved to authorize the board to resolve, on one or several occasions until the next annual general meeting, to transfer (sell) own shares.

The purpose of the authorization to repurchase own shares is to promote efficient capital usage in the company, to provide flexibility as regards the company's possibilities to distribute capital to its shareholders and to provide hedging for the company's option programs. The purpose of the authorization to transfer own shares is to enable the board to make corporate acquisitions, product acquisitions or enter into collaboration agreements, or to raise working capital or broaden the shareholder base or for use in the context of the company's incentive plans or to provide hedging for the company's option programs.

Reduction of share capital through cancellation of shares

The meeting resolved that the company's share capital shall be reduced by SEK 511,000 for allocation to unrestricted equity with cancellation of 12,775,000 own B shares held by the company.

Stable start to the year

In the quarter, we saw currency adjusted growth of 6.1% and a strong positive trend for our recurring license and support revenue. The development of 5G time synchronization continues at a steady pace, with several key deals and the launch of our new product family.

  • Net sales amounted to SEK 126.6 (109.7) million, an increase of 15.4% year-on-year. In comparable currencies net sales increased by 6.1%.
  • Operating earnings amounted to SEK 12.0 (10.7) million, corresponding to an operating margin of 9.5% (9.7%). Excluding foreign exchange rate differences of SEK -1.3 (0.5) million, operating earnings were SEK 13.3 (10.2) million.
  • Net income for the period was SEK 10.4 (8.2) million.
  • Earnings per share diluted was SEK 0.03 (0.02).
  • Total cash was SEK -29.9 (-1.2) million. Excluding the cash impact from repurchase of own shares, the cash flow was SEK -21.4 (35.5) million.
