Available now, Nimbra JPEG XS applications are rolling out to support the delivery of some the world's biggest live sporting events. Net Insight's Cloud and IP media platform combines the power of zero-compromise video compression with its industry-leading, open-standard media delivery technology.

The JPEG XS content production codec is a so-called lightweight image coding system that processes video at the microsecond level with line-based latency. Based on real-world testing and compression grades in the range of 4:1 to 12:1, Net Insight's JPEG XS applications can deliver lossless quality video while reducing typical network resource consumption by 90%. As JPEG XS is designed to scale, it fully supports the ability to natively process UHD-4K and UHD-8K content. Strong growth in the third quarter, followed by a big agreement in 5G synchronization

"Q3 was the strongest in terms of revenue since Q2 2019, and sales in the period of SEK 101 million were up by just over 30% year-on-year and by 13% compared to the same period in 2019. All regions exceeded last year's sales figures, contributing to the increase, alongside increased sales for the Aperi portfolio. Agreement in 5G synchronization totaling SEK 220 million with Türk Telekom after the end of the reporting period."

  • Net sales amounted to SEK 100.8 (77.2) million, an increase of 30.6% year-on-year. In comparable currencies net sales increased by 34.1%.
  • Operating earnings amounted to SEK 11.8 (-4.1) million, corresponding to an operating margin of 11.7% (-5.3%). Excluding foreign exchange rate differences of SEK -0.2 (0.1) million, operating earnings were SEK 12.0 (-4.2) million.
  • Net income for the period for continuing operations was SEK 10.1 (-3.9) million and for the Group, including discontinued operations, SEK 10.1 (-5.9) million.
  • Earnings per share diluted for the Group was SEK 0.03 (-0.02).
  • Total cash flow for the Group was SEK 25.1 (-21.1) million. Excluding the cash impact of the divestment of operations, cash flow was SEK -6.4 (-21.1) million.

January – September 2021

  • Net sales amounted to SEK 272.8 (241.4) million, an increase of 13.0% year-on-year. In comparable currencies net sales increased by 19.5%.
  • Operating earnings amounted to SEK 23.5 (-0.9) million, corresponding to an operating margin of 8.6% (-0.4%). Excluding foreign exchange rate differences of SEK 8.2 (1.9) million, operating earnings were SEK 15.3 (-2.8) million.
  • Net income for the period for continuing operations was SEK 21.0 (-2.8) million. Net Income for the Group, including discontinued operations, was SEK -16.0 (244.2) million. This includes capital loss on disposal of discontinued operations of SEK -35.9 (246.4) million.
  • Earnings per share diluted for the Group was SEK -0.04 (0.64).
  • Total cash flow for the Group was SEK 55.9 (214.0) million. Excluding the cash impact of the divestment of operations, cash flow was SEK 9.3 (-88.4) million.

Net Insight utilizes mandate to repurchase own shares

The Board of Net Insight AB has decided to utilize the repurchase mandate that was given by the AGM on May 7, 2021, and initiate a repurchase of own shares. The repurchase program will commence on November 11, 2021, and run until the next AGM on May 13, 2022, and compromises a maximum of 16 million shares or SEK 70 million.

Net Insight has entered into an agreement with Nordea Bank Abp on placing an irrevocable order for the repurchase of own shares. The shares will be bought on Nasdaq Stockholm in accordance with its Rule Book for Issuers, at a price per share within the price range on Nasdaq Stockholm at any given time, by which is meant the range between the highest buying price and the lowest selling price published continuously by Nasdaq Stockholm. The purpose of the repurchases is to provide flexibility as regards the company's capital structure and possibilities to distribute capital to its shareholders.

At the time of this announcement, the number of outstanding shares in the company was 1,000,000 A shares and 388,933,009 B shares, 389,933,009 shares in total, whereof Net Insight's holding of own shares was 7,150,000 B shares.

Net Insight signs agreement worth SEK 220 million with Türk Telekom in synchronization

Stockholm, Sweden – Net Insight has signed a collaboration agreement with Turkish telecom operator Türk Telekom relating to 5G synchronization. The agreement is the first of its kind for Net Insight, and opens up a big new market. Within the framework of the collaboration agreement, SEK 55 million relates to product development, and around SEK 25 million will be an initial order with product delivery starting this year. With the agreement, Net Insight once again demonstrates the ability to commercialize its technical excellence.

Under the agreement, which is worth SEK 220 million, Net Insight is initially provided SEK 55 million for product development, as well as an initial order worth SEK 25 million for existing products with delivery starting this year. The remaining orders for an entirely new product for 5G will be delivered towards the end of 2023, with delivery completed in 2026. The solution offers unique advantages as it is independent of GPS and can provide time synchronization over existing networks. 5G rollouts can therefore be done without replacing or upgrading existing nodes in the networks, which reduces operator costs significantly.

"This is our single biggest order ever and an important milestone in the company's history. We are creating a new business offering with a new product selected by one of Europe's biggest telecom operators. There is a large total market for 5G synchronization with an estimated future annual value of over USD 1 Bn," commented Crister Fritzson, CEO of Net Insight.

Net Insight Wins Key Aperi Order

Stockholm, Sweden – A Tier-1 integrated network service provider in North America, has selected Aperi, part of Net Insight's distributed IP media processing portfolio, for its new mission critical media services network. The total order value is approximately USD 900,000 and the main part will be delivered in the third quarter of 2021.

In line with the strategy to grow the core Media Networks business, Net Insight acquired the Aperi product portfolio in early 2020 to complement and strengthen the existing customer offering. Since then, the focus has been to align product development to the market and secure continuity for customers.

The Aperi products are industry established, open and IP standards-based. All around the globe, from major public events to twenty-four-seven media services the Aperi products are relied on to provide automation, adaptability, scalability and class-leading distributed media workflows. The Aperi offering is a key ingredient in Net Insight's strategy to deliver open, automated and standard IP solutions over any kind network including cloud networks. April – June 2021

  • Net sales amounted to SEK 94.1 (88.3) million, an increase of 6.5% year-on-year. In comparable currencies net sales increased by 13.2%.
  • Operating earnings amounted to SEK 8.6 (-1.7) million, corresponding to an operating margin of 9.1% (-1.9%). Excluding foreign exchange rate differences of SEK 0.8 (-7.4) million, operating earnings were SEK 7.8 (5.7) million.
  • Net income for the period for continuing operations was SEK 7.0 (-0.1) million and for the Group, including discontinued operations, SEK 7.0 (1.8) million.
  • Earnings per share, basic and diluted, for the Group was SEK 0.02 (0.00).
  • Total cash flow for the Group was SEK 16.7 million (-10.3).

January – June 2021

  • Net sales amounted to SEK 172.0 (164.3) million, an increase of 4.7% year-on-year. In comparable currencies net sales increased by 12.4%.
  • Operating earnings amounted to SEK 11.7 (3.2) million, corresponding to an operating margin of 6.8% (1.9%). Excluding foreign exchange rate differences of SEK 8.4 (1.8) million, operating earnings were SEK 3.3 (1.4) million.
  • Net income for the period for continuing operations was SEK 10.9 (1.1) million. Net Income for the Group, including discontinued operations, was SEK -26.1 (250.1) million. This includes capital loss on disposal of discontinued operations of SEK -35.9 million (246.4).
  • Earnings per share, basic and diluted, for the Group was SEK -0.07 (0.65).
  • Total cash flow for the Group was SEK 30.8 million (235.1). Excluding the cash impact of the divestment of subsidiary, cash flow was SEK 15.7 million (-67.3).

Bulletin from the Annual General Meeting in Net Insight AB (publ) on 7 May 2021

Solna - The following resolutions were passed at the Annual General Meeting (the "AGM") in Net Insight AB (publ) on 7 May 2021. The AGM was carried out through advance voting, without the physical presence of shareholders, proxies and third parties. The board of directors' complete proposals have previously been published and are available at the company's website, www.netinsight.net

Approval of the annual report, appropriation of result and discharge from liability
The AGM resolved to adopt the income statement and balance sheet, consolidated income statement and balance sheet for 2020. Furthermore, it was resolved that the company's results shall be carried forward and thus no dividend will be distributed. The AGM resolved to discharge the board members and the managing director from liability.

Number of board members and auditors, election of board members and auditors and fees to the board members and auditor
The AGM resolved that the number of board members, appointed by the shareholders' meeting, should be six with one deputy. Gunilla Fransson, Kjell Arvidsson, Anders Harrysson, Jan Barchan, Charlotta Falvin and Mathias Berg were re-elected as board members and Stina Barchan was re-elected as personal deputy for Jan Barchan. Gunilla Fransson was re-elected as chairman of the board.

The AGM resolved that the number of auditors shall be one without deputies. Deloitte AB was re-elected as the company's auditor with Therese Kjellberg as auditor in charge.

The AGM resolved that the remuneration to the board should amount to SEK 2,315,000 to be allocated with SEK 700,000 to the chairman of the board of directors and SEK 250,000 to each other member of the board of directors who are not employees in the company and SEK 125,000 to deputies who are not employees in the company. For work relating to committees, remuneration to the chairman of the audit committee was resolved to be SEK 100,000 and SEK 50,000 to each member of the audit committee, SEK 50,000 to the chairman of the remuneration committee and SEK 40,000 to each member of the remuneration committee. Remuneration to the auditor will be on approved account.

Resolution regarding guidelines for remuneration and other terms of employment for the group management
The AGM resolved to approve the board of directors' proposal regarding guidelines for remuneration and other terms of employment for the group management.

Approval of the Board's remuneration report
The AGM resolved to approve the remuneration report presented by the Board.

Resolution regarding the nomination committee
The AGM resolved to approve the nomination committee's proposal regarding the instruction for the nomination committee.

Resolution regarding authorization for the board of directors to resolve to repurchase and transfer of own shares
The AGM resolved to authorize the board of directors to resolve to repurchase, on one or several occasions until the next annual general meeting, as many own shares as may be purchased without the company's holding at any time exceeding ten per cent of the total number of shares in the company. Further, the AGM resolved to authorize the board of directors to resolve, on one or several occasions until the next annual general meeting, to transfer (sell) own shares.

The purpose of the authorization to repurchase own shares is to promote efficient capital usage in the company, to provide flexibility as regards the company's possibilities to distribute capital to its shareholders and to provide hedging for the company's option programme. The purpose of the authorization to transfer own shares is to enable the board of directors to make corporate acquisitions, product acquisitions or enter into collaboration agreements, or to raise working capital or broaden the shareholder base or for use in the context of the company's incentive plans or to provide hedging for the company's option programme.

Growth on a continued cautious market

"Net Insight posted continued growth in the first quarter 2021 and revenue up by 2.6% despite negative exchange rate effects. Adjusted for exchange rate effects, year-on-year growth was 11.6%. The divestment of ScheduALL, which was announced in the quarter, is an important step towards focusing the operations and achieving profitable growth. It is also encouraging that our sharper focus and accelerated R&D investments are yielding results and that we won important deals in the quarter."

January – March 2021

  • Net sales amounted to SEK 77.9 (76.0) million, an increase of 2.6% year on-year. In comparable currencies net sales increased by 11.6%.
  • Operating earnings amounted to SEK 3.1 (4.8) million, corresponding to an operating margin of 4.0% (6.3%). Excluding foreign exchange rate differences of SEK 7.6 (9.2) million, operating earnings were SEK -4.4 (-4.4) million.
  • Net income for the period for the Group, including divested operations, was SEK -33.0 (248.4) million. This includes capital loss on disposal of discontinued operations of SEK -35.9 million (246.4). The effect on earnings from the disposal of discontinued operations deviates from the estimate communicated in connection with the announcement of the transaction. For more information, see section "Divested operations" in "Extraordinary events".
  • Earnings per share, basic and diluted, for the Group was SEK -0.09 (0.65).
  • Total cash flow for the Group was SEK 14.1 million (245.4). Excluding the cash impact of the divestment of subsidiary, cash flow was SEK -1.0 million (-57.0).
