In December 2023, 895 000 warrants in the long-term incentive program that was decided by the annual general meeting 2020 (LTI 2020) were exercised, resulting in an increase of 895 000 B-shares and votes in Net Insight AB. This concluded LTI 2020.

Before the warrants were exercised, there were 1 000 000 A shares and 357 143 009 B shares, in total 358 143 009 shares and 367 143 009 votes, in the company. As of December 29, 2023, there are 1 000 000 A shares and 358 038 009 B shares, in total 359 038 009 shares and 368 038 009 votes, in the company.

Anna Söderblom is proposed as the new chair of Net Insight

Stockholm, Sweden – The Nomination Committee of Net Insight AB proposes that Anna Söderblom will be elected as the new chair of the board of Net Insight AB at the Annual General Meeting in 2024.

As previously communicated, the chair of the board, Gunilla Fransson, has announced that she declines re-election at the Annual General Meeting in 2024. The nomination committee proposes that Anna Söderblom will be elected as a new board member and chair of the board at the Annual General Meeting of Net Insight on May 7, 2024.

Anna Söderblom is a teacher and researcher at the Stockholm School of Economics, chair of the board of Proact IT Group AB, and a board member of Länsförsäkringar Liv AB, Chalmers Ventures AB, BTS Group AB, Midway Holding AB, Dedicare AB, and Webstep ASA. Among other things, she has worked as an investment manager at Industrifonden, as well as support manager and marketing director at Microsoft Nordic. Anna Söderblom holds a university degree in mathematics from Lund University, a bachelor's degree in business administration from Stockholm University, and a Ph.D. in Economics from the Stockholm School of Economics. Anna Söderblom was born in 1963.

Net Insight signs framework agreement with Teracom for time synchronization of critical mobile network

Stockholm, Sweden – Net Insight has entered into a strategically important frame agreement with Teracom for the delivery of its time synchronization solution Zyntai. The frame agreement primarily concerns the time synchronization of Teracom's network for critical services. The value of the agreement for the project, for deployment during 2023 and 2024, is over SEK 10 million.

Teracom Group is a state-owned corporation that provides secure communication services to Sweden's vital societal actors. Teracom's mobile network, focusing on critical services, requires a robust and secure time synchronization solution that is independent of GPS/GNSS. After a thorough evaluation process, Teracom has chosen Net Insight as its supplier.

The solution, based on Net Insight's new cost-effective synchronization platform Zyntai, meets the high performance and security requirements that Teracom places on the time synchronization of its critical mobile network. The agreement represents an important strategic step forward for Net Insight in its expansion of time synchronization for critical networks. The first phase, worth over 10 million SEK, is planned to be delivered during 2023, with the majority in the first half of 2024.

Major American operator expands trial sync network with Net Insight

Stockholm, Sweden – Net Insight has received an order from a major American operator for expansion of their trial synchronization network.

After successful tests of Net Insight's GPS/GNSS independent synchronization solution, the customer expands its synchronization network to enter commercial trials. The Net Insight TimeNodes will be delivered before the end of the year.

Standardization of a new synchronization solution has been initiated within ITU

StockholmITU (The International Telecommunication Union) has decided to start a working item for a new supplement in order to begin standardization of Enhanced Partial Timing Support (ePTS). This is the first step to standardize the Precision TimeNet (PTN) technology that Net Insight has developed for its new Zyntai synchronization platform.

At the previous week's ITU convention in Geneva, ITU Study Group 15 (SG15) decided to start a working item for a new supplement in order to start standardization of Enhanced Partial Timing Support (ePTS).

This is the first step to standardize the Precision TimeNet (PTN) technology that Net Insight has developed and spearheaded. PTN is used in Net Insight's new Zyntai synchronization products. Zyntai is optimized for synchronization of 5G and critical networks.

The aim of the working item is to optimize time synchronization across wide area networks without the need for full timing support PTP (Precision Time Protocol, ITU G8275.1 profile) in intermediate nodes. With the approval of the work item, the standardization of Enhanced Partial Timing Support (ePTS) could formally start. The work is currently scheduled to be completed in 2025. The exact plan for how it will be published will be determined as the ITU standardization work progresses.

Continued profitable growth driven by strong development in the media business

The strong earnings and growth in the quarter was attributed to the ongoing strong development in the media business, despite macroeconomic uncertainty. As expected, the revenue from time synchronization was slightly lower year-on-year, however the order book has increased during the quarter from SEK 160 million to over SEK 180 million.

"I am proud that our media business continues to perform well in a turbulent market. In addition, I see that our time synchronization solution can be an important advantage in a telecom market affected by macroeconomic uncertainty, as it implies lower costs for the telecom operators."

  • Net sales amounted to SEK 144.0 (130.3) million, an increase of 10.5% year-on-year. In comparable currencies net sales increased by 5.9%.
  • Operating earnings amounted to SEK 19.6 (27.3) million, corresponding to an operating margin of 13.6% (20.9%). Excluding foreign exchange rate differences of SEK -1.9 (0.5) million, operating earnings were SEK 21.5 (26.8) million.
  • Net income for the period was SEK 16.2 (24.2) million.
  • Earnings per share diluted was SEK 0.05 (0.07).
  • Total cash was SEK -3.6 (-36.0) million. Excluding the cash impact from share-related transactions, the cash flow was SEK 18.5 (2.1) million.

January – September 2023

  • Net sales amounted to SEK 396.9 (350.1) million, an increase of 13.4% year-on-year. In comparable currencies net sales increased by 7.2%.
  • Operating earnings amounted to SEK 41.5 (47.3) million, corresponding to an operating margin of 10.4% (13.5%). Excluding foreign exchange rate differences of SEK -4.9 (0.9) million, operating earnings were SEK 46.4 (46.5) million.
  • Net income for the period was SEK 37.5 (44.1) million.
  • Earnings per share diluted was SEK 0.10 (0.12).
  • Total cash was SEK -45.9 (-61.0) million. Excluding the cash impact from share-related transactions, the cash flow was SEK -10.6 (13.8) million.

The composition of the Nomination Committee ahead of the company's Annual General Meeting 2024 has changed after a represented shareholder chose to step down from the position. The date for the Annual General Meeting has been set for May 7, 2024.

As a result of a notification from Cobia Capital Funds that Jeffrey Meyers is stepping down prematurely from the Nomination Committee, Peter Sjögren, appointed by Edgar Sesemann, has taken on the role as a new member of the Nomination Committee.

After the change, the Nomination Committee consists of:

Net Insight's chair Gunilla Fransson declines reelection

Gunilla Fransson declines reelection as board member and Chair of the Board in Net Insight AB. She will remain as chair until the next Annual General Meeting in May 2024.

Gunilla Fransson was elected to the board of Net Insight in 2008 and appointed chair of the board in 2018. As the chair of the board of Net Insight, Gunilla has played a central role in streamlining operations and promoting strategic growth. Under her leadership, the company's operations have been refined through the divestment of the business segments ScheduALL and Sye, and expanded with the development of a product for time synchronization in 5G networks.

The Nomination Committee has initiated a process to search for a successor to the chairmanship, to be proposed at the annual general meeting in 2024.

Net Insight's CFO is leaving the company

Stockholm, Sweden – The company's CFO Joakim Schedvins has decided to leave his position and the company. The company is now starting a process to recruit a new CFO.

Joakim Schedvins is leaving the company at his own request for a new position outside of Net Insight. He will remain as CFO and a member of the management team until the end of Q1 2024.

"I want to thank Joakim for his great commitment and valuable contribution to the company and wish him good luck in his continued career. Net Insight AB's Nomination Committee ahead of the 2024 annual general meeting has been convened.
