Stockholm, SwedenThe Football Federation of Macedonia (FFM) has introduced a centralized remote Video Assistant Referee (VAR) system for the country's top leagues, strengthening the integrity and fairness of the game. The order was received, and the solution was delivered by Net Insight and its regional partner LNC in June and became operational from August 2025.

The VAR implementation includes installations at three stadiums and a central control site at FFM's headquarters. The infrastructure is powered by Net Insight's Nimbra platform deployed at the arenas and a central Nimbra node running
J2K workflows. This ensures ultra-low latency, reliable connectivity, and broadcast-quality performance across the VAR environment. The project is part of FFM's long-term strategy to modernize football operations in Macedonia.

Stockholm, SwedenRPC, the Brazilian TV network and an affiliate of TV Globo, is expanding its Nimbra-based network to strengthen its nationwide live contribution and BTS (Broadcast Transport Stream) distribution workflows. The order for around 20 Nimbra 400 was received in Q3, 2025 and will be delivered during the quarter, and carries strategic importance, as TV Globo is the largest TV network in Latin America.

The network, originally deployed four years ago, has become the backbone for RPC's 24/7 live content delivery, providing regional customization across the state. Curitiba in Brazil, serves as the central hub for production, where national programming and local content are created before being distributed to regional affiliates such as Londrina, Maringá, and Ponta Grossa. Each affiliate inserts local news and adapts the content to its audience, while transmitters and local units ensure statewide coverage – even in areas with limited terrestrial signal.

The expansion introduces additional contribution channels between the central hub and regional stations, as well as BTS distribution from studio sites to transmitter sites. By supporting BTS transport from the ISDB-T standard over IP with 1+1 redundancy, the project secures the end-to-end delivery of modulation parameters and service information, ensuring strict compliance with ISDB-T transmission requirements.

Leveraging Nimbra 400 with internet-based ARQ protocols enables RPC to reduce costs compared to traditional satellite or MPLS networks, while achieving resilient and reliable SFN (Single Frequency Network) BTS distribution. This approach represents an innovative use of BTS transport over internet connectivity.

Stockholm, Sweden – Net Insight launches a new IP-flexible upgrade for its Nimbra platform, delivering higher JPEG XS efficiency, built-in IP security, and seamless SDI/IP adaptability to power the industry's transition to next-generation live production. 

The launch comes as the global sports broadcasting technology market is projected to reach USD 84.83 billion in 2025, driven by increasing demand for live content. Media companies are rapidly shifting to IP-based workflows for greater flexibility and scalability compared to traditional SDI setups.

Strong customer activity in a challenging market

Revenue improved during the quarter while the market remains characterized by uncertainty, with a risk of delayed orders as a result. We continue to see strong demand for our products and services. In Media, we secured one of the largest deals in the company's history, and in Time Synchronization, we won our first major order in the media market and received a field trial order from a 5G operator in the US.

April – June 2025

  • Net sales decreased by 19.0% to SEK 142.6 (176.1) million. Adjusted for currency effects, the decrease was 13.4%.
  • EBITDA amounted to SEK 13.8 (58.8) million, corresponding to an EBITDA margin of 9.7% (33.4%). Adjusted for restructuring costs and currency effects, EBITDA amounted to SEK 25.9 (56.7) million.
  • EBIT amounted to SEK -9.7 (38.3) million, corresponding to an EBIT margin of -6.8% (21.8%). Adjusted for restructuring costs and currency effects, EBIT amounted to SEK 2.3 (36.2) million.
  • Net profit/loss for the period amounted to SEK -10.7 (30.4) million.
  • Earnings per share diluted were SEK -0.03 (0.09).
  • Total cash flow excluding stock-related transactions amounted to SEK -58.4 (-11.0) million, affected by the lower result.

Stockholm, Sweden – Net Insight has secured a landmark live media transport deal with one of our existing customers, involving the delivery of its most advanced media solutions for U.S. sports venues. The deal is valued at USD 6 million and represents one of the largest media contracts in the company's history.

The agreement was secured among strong competition and includes fully equipped Nimbra 1060s, Net Insight's latest generation of live media transport solutions for managed networks. It marks an important step in expanding Net Insight's presence in the U.S. market and enables the customer to deliver high-quality, uninterrupted live broadcast experiences while reinforcing Net Insight's leading position within the managed solutions segment. The greater part of the order is scheduled for delivery during 2025, starting in Q2.

Fully aligned with the company's strategic focus on the American market and enabling live sports broadcasts through cutting-edge technology, the agreement reinforces this direction. This deal underscores the growing need for increased network capacity at venues and remote production capabilities. Here, Net Insight is at its strongest, with plans to launch a groundbreaking 400G IP platform at the turn of the year 2025/2026.

In partnership with Parallel Wireless® and Net Insight , Türk Telekom announces its support for 6G Open RAN standardization efforts, with a focus on advancing GPS/GNSS-independent synchronization technology. This innovation is being integrated into the standardized ORAN network architecture, developed together with Türk Telekom's local engineers and in collaboration with Net Insight. In accordance with the resolution passed at the Annual General Meeting on 14 May 2025, Net Insight AB has cancelled 6,838,570 of its own B shares that were previously repurchased by the company.

Following the cancellation, the total number of shares in the company amounts to 341,404,439, of which 1,000,000 are A shares and 340,404,439 are B shares. These shares collectively represent 350,404,439 voting rights in the company. The company's share capital remains unchanged at SEK 13,929,720.36.

Bulletin from Net Insight's Annual General Meeting 2025

The Annual General Meeting of Net Insight AB (publ) was held on 14 May 2025 in Solna, Sweden. The following resolutions, among others, were passed. The proposals of the Board of Directors and the Nomination Committee have previously been published and are available on the company's website, www.netinsight.net.

Adoption of the annual accounts, appropriation of results and discharge from liability

The meeting resolved to adopt the income statement and balance sheet for the parent company and the consolidated income statement and balance sheet for the Group for 2024. It was resolved that the company's results shall be carried forward and that no dividend shall be distributed. The meeting discharged the members of the Board of Directors and the CEO from liability for the financial year 2024.

Board of Directors and board fees

The meeting resolved on the election of the Board of Directors in accordance with the Nomination Committee's proposal. Anna Söderblom, Jan Barchan, Cecilia de Leeuw, Karl Thedéen and Torbjörn Wingårdh were re-elected as board members. Anna Söderblom was re-elected as Chair of the Board. Axel Barchan was re-elected as personal deputy to Jan Barchan.

The meeting resolved on board fees in accordance with the Nomination Committee's proposal, as follows: SEK 800,000 to the Chair of the Board, SEK 290,000 to each of the other board members elected by the meeting, SEK 143,000 to the deputy elected by the meeting, SEK 125,000 to the Chair of the Audit Committee, SEK 60,000 to each other member of the Audit Committee, SEK 50,000 to the Chair of the Remuneration Committee, and SEK 40,000 to each other member of the Remuneration Committee.

Auditor

The meeting resolved to re-elect KPMG AB as the company's auditor for the period until the end of the Annual General Meeting 2026. The auditor's fee shall be paid in accordance with approved invoices.

Remuneration report

The meeting approved the Board of Directors' remuneration report for 2024.

Long-Term Incentive Program 2025 (LTIP 2025)

The meeting resolved to approve the implementation of a long-term share-based incentive program, LTIP 2025, directed to senior executives and other key employees.

The meeting also resolved to approve the transfer of treasury shares as a hedging measure for the company's obligations under LTIP 2025. It was noted that the Board of Directors intends to return to the Annual General Meeting 2028 with a proposal to hedge the payment of social security contributions that may arise in connection with LTIP 2025.

Reduction of share capital

The meeting resolved to reduce the company's share capital by SEK 273,542.80 for allocation to unrestricted equity through the cancellation of 6,838,570 Class B shares held in treasury. The meeting also resolved to restore the share capital through a bonus issue without issuing new shares, whereby the reduction amount of SEK 273,542.80 shall be transferred from unrestricted equity.

Authorization for the Board of Directors to repurchase and transfer own shares

The meeting resolved to authorize the Board of Directors, on one or several occasions until the next Annual General Meeting, to resolve on the repurchase of own shares so that the company's holding does not exceed ten percent of the total number of shares in the company. The meeting also resolved to authorize the Board of Directors to resolve on the transfer of own shares.

The purpose of the authorization to repurchase own shares is to promote efficient capital usage in the company, to provide flexibility regarding the company's possibilities to distribute capital to shareholders, and to provide hedging for the company's long-term share-related incentive programs. The purpose of the authorization to transfer own shares is to enable corporate acquisitions, product acquisitions or collaboration agreements, to raise working capital, to broaden the shareholder base, or to provide hedging for the company's long-term share-related incentive programs.

Net Insight outlines further details on previously announced cost-savings program

Stockholm, Sweden – In connection with the publication of its Q1 2025 interim report, Net Insight announced the launch of a targeted cost-savings program. The program aims to strengthen profitability in the short and medium term and is expected to generate annual savings of approximately SEK 25–30 million.

In response to lower volumes and a temporarily hesitant market, where the timing of business deals in the short term has become more difficult to predict, a comprehensive review of the Group's cost base has been conducted, covering both operating expenses and capital expenditure. Immediate actions are being implemented to accelerate profitable growth, including reductions of non-staff related costs and costs associated with headcount. The cost-savings are strategically designed to protect momentum in Net Insight's long-term growth areas while improving overall scalability and cost efficiency across the organization. The measures are expected to generate annual savings of approximately SEK 25–30 million and reach full effect by the end of the current year.

Net Insight continues to closely monitor market developments and will remain agile in adjusting the scope and pace of its actions based on prevailing conditions.
